(a) Disposal of RH Petrogas shares
Since 8 April 2011, Kim Eng Securities Pte. Ltd. has disposed an aggregate of 40,000 shares in RH Petrogas Limited.

(b) Completion of SPAs
On 6 January 2011, MIBH entered into separate conditional share purchase agreements ("SPAs") with Mr Ronald Anthony Ooi Thean Yat ("RO") and Yuanta Securities Asia Financial Services Limited (together, the "Vendors"), whereby the Vendors agreed to sell and in addition RO agreed to procure the sale of, and MIBH agreed to purchase, on the terms and conditions set out in the SPAs, an aggregate of 257,559,264 issued ordinary shares ("Kim Eng Shares") in the capital of Kim Eng Holdings Limited ("Kim Eng"), representing approximately 44.63* per cent. of the issued share capital of Kim Eng.

On 7 January 2011 and 10 January 2011, MIBH further acquired 32,248,000 Kim Eng Shares, representing approximately 5.59 per cent, of the issued share capital of Kim Eng.

Simultaneous completion of the SPAs took place on 10 May 2011 and, accordingly, MIBH has a direct interest in 289,807,264 Kim Eng Shares, representing approximately 50.22 per cent, of the issued share capital of Kim Eng.

As Kim Eng Securities Pte. Ltd. is a wholly-owned subsidiary of Kim Eng, and Kim Eng in turn, is a subsidiary of MIBH, MIBH is deemed to have an interest in 30,984,000 shares in the capital of RH Petrogas Limited pursuant to Section 7 of the Companies Act, Chapter 50 of Singapore.

*In the notification, the percentage of shareholding of Kim Eng is based on 577,093,954 issued ordinary shares as in the capital of Kim Eng (excluding treasury shares) as at 5 May 2011.
